EMC CEO to Data Domain: 'You Remind Us of EMC'

Although Data Domain's board accepted a $1.9 billion acquisition offer from NetApp, EMC is not giving up its effort to disrupt the deal. Following EMC's $1.8 billion, all-cash bid for the company tendered on June 1, EMC President and CEO Joe Tucci in an open letter to employees extols the virtues of his company and explains why he thinks Data Domain would thrive under its ownership.

EMC on June 9 made its first move since tendering an unsolicited bid June 1 for storage system maker Data Domain by sending an "open letter" to the company's employees-as well as the rest of the world-extolling the virtues of an EMC ownership.
On June 3, Data Domain's board of directors voted unanimously to accept NetApp's $1.9 billion cash-and-stock bid, and stockholders are expected to vote on the deal in the next few weeks.
If its agreement with Data Domain does become final, NetApp will acquire all of the outstanding shares of Data Domain's common stock for $30 per share in cash and stock. The transaction is expected to close in fall 2009.
Legally, Data Domain cannot respond publicly about EMC's all-cash offer or the letter sent by EMC President, CEO and Chairman Joe Tucci on June 9. eWEEK was expecting a response from NetApp later in the day June 9.
Tucci and EMC have much to gain from this bidding war, whether or not EMC is able to add Data Domain to its lengthy list of conquered IT companies-more than 50 in the last six years, at last count.
If EMC can convince Data Domain's board and stockholders to reject the NetApp deal, it gains a strong foothold in the midrange storage market, with a lot of loyal Data Domain customers. The midmarket, where Data Domain is a growing storage supplier, is the fastest-developing segment of the storage market.
On the other hand, if it fails at acquiring the company, EMC succeeds at hurting competitor NetApp in the pocketbook. NetApp has been forced to increase its offer by $300 million in this nine-day-old bidding war, and although NetApp is doing well financially, that's still a lot of money to have to add to the transaction that it could use elsewhere.
Tucci is knows that he can preach EMC evangelism to the masses through the open letter. We at eWEEK are also quite aware of this tactic, but in view of the bidding war developments, we nonetheless deem it a useful document to publish in our coverage.

An Open Letter to the Employees of Data Domain
We at EMC have the highest regard for the people of Data Domain. You have built a terrific company. We know this because we have closely followed your fast-paced growth and progress for years. We understand the contributions your deduplication technologies and solutions are making to companies around the world. You have a well-earned reputation for attracting skilled storage professionals who excel at innovation. And we admire how uncompromising you are in caring for and serving your customers. In many ways, you remind us of EMC.
For these reasons and many more, we believe that bringing Data Domain into the EMC family would be the best way for you to continue building your careers and accelerating the success you've already achieved in the marketplace.
As you know, your Board of Directors has a fiduciary responsibility to do what is in the best long-term interests of Data Domain's stockholders. Looked at purely from a financial perspective, EMC's $30 per share all-cash tender offer to acquire all of the outstanding stock of Data Domain remains superior to NetApp's part-stock, part-cash offer. But of course there's more to the success of a merger than money can ever account for.
Therefore, we imagine that you must be asking yourselves, what kind of future could I expect to have as a member of the global EMC family? The short answer is a great and exciting future -- and here's why:

No matter which company makes the acquisition, Data Domain shareholders must be very pleased with the sudden turnaround in their stock. On March 16, Data Domain was selling for $10.24; on June 9 it was selling at $32.75.
